Important notice for the shareholders of Kubanenergo PJSC!

 Kubanenergo PJSC has opened applications for purchase of additional shares in exercise of preemptive right

Public joint stock company of power industry and electrification of Kuban (hereinafter – “Kubanenergo” PJSC, the Company) hereby informs its shareholders on the possibility of exercising 27 July 2019 through 9 September 2019 the preemptive right to purchase the additional shares of Kubanenergo PJSC registered by the Bank of Russia on 18 July 2019 with assigned number 1-02-00063.

Preemptive right to acquire the Shares is granted to persons who are shareholders of Kubanenergo PJSC as of 24 March 2019 – the date of determining (selecting) persons entitled to participate in the Extraordinary General Meeting of Shareholders of Kubanenergo PJSC, that was held on 17 April 2019 (Minutes of Meeting No.41 of 19 April 2019), which decided to increase the authorized capital of Kubanenergo PJSC by publicly offering additional shares.

If information about a shareholder has been changed, or profile of a registered person or documents of a legal entity are not in the register of securities holders, such shareholder must submit the information on such change of the data and/or missing documents in the manner stipulated by the legislation of the Russian Federation to the central office of “ICR – R.O.S.T. Registrar” JSC, the Registrar of Kubanenergo PJSC, or to one of its branches.

In case of failure to provide such information about changes in the data and/or required documents, making an entry in the accounts of the purchasers may not be possible, at the same time Kubanenergo PJSC and the Company’s Registrar do not bear responsibility for damages caused to a shareholder in this regard.

Please, bear in mind that the legislation allows You to purchase fractional shares in the process of exercising Your preemptive rights, however, the fractional share, usually, does not substantially affect the amount of votes You own at the General Meeting of Shareholders and does not substantially increase the amount of the dividends payable to You (if dividends are payable to shareholders), however, the alienation of a fractional share may require additional expenses or efforts usually incommensurable with the benefits of owning a fractional share. In this regard, the acquisition of a whole shares may be more advantageous for You.
